All quotes generated through our website or provided via email are valid for 30 days from the date of issue, unless otherwise specified.

3.2 Pricing

Prices are quoted in South African Rand (ZAR) and are subject to change. Final pricing may vary based on detailed project requirements and scope changes.

3.3 Payment Terms

Payment terms will be specified in the project agreement. Typically:

• 50% deposit required to commence work
• 50% due upon project completion
• Milestone-based payments for larger projects

4. Project Timeline and Delivery

Project timelines are estimates based on the agreed scope. Delays may occur due to:

• Client delays in providing content or feedback
• Scope changes or additional requirements
• Technical challenges or third-party dependencies
• Force majeure events

5. Intellectual Property Rights

5.1 Client Content

Clients retain all rights to content they provide (text, images, logos, etc.). By providing content, you grant us a license to use it for the purpose of delivering services.

5.2 Developed Work

Upon full payment, ownership of custom-developed work transfers to the client, excluding:

• Third-party libraries and frameworks
• Webrack's proprietary tools and methodologies
• Stock assets and templates

5.3 Portfolio Use

We reserve the right to display completed projects in our portfolio and marketing materials unless otherwise agreed in writing.

6. Client Responsibilities

Clients are responsible for:

• Providing accurate and timely information
• Supplying required content and assets
• Providing timely feedback and approvals
• Ensuring legal rights to provided content
• Meeting payment obligations

7. Warranties and Disclaimers

7.1 Service Warranty

We warrant that services will be performed with reasonable skill and care in accordance with industry standards.

7.2 Disclaimer

Services are provided "as is" without warranty of any kind. We do not guarantee:

• Uninterrupted or error-free operation
• Specific business results or outcomes
• Compatibility with all systems

8. Limitation of Liability

To the maximum extent permitted by law, Webrack shall not be liable for:

• Indirect, incidental, or consequential damages
• Loss of profits, data, or business opportunities
• Damages exceeding the total amount paid for services

9. Confidentiality

We will maintain confidentiality of sensitive client information and will not disclose it to third parties without consent, except as required by law.

10. Termination

Either party may terminate services with written notice. Upon termination:

• Client is responsible for payment of work completed
• Webrack will provide work-in-progress to the client
• Unused deposits may be refunded at our discretion

11. Maintenance and Support

Maintenance and support services are available under separate agreements. Without a maintenance agreement:

• Bug fixes provided for 30 days post-launch
• Training on delivered systems included
• Additional support billed at hourly rates

12. Dispute Resolution

Any disputes arising from these terms shall be:

• Initially attempted to be resolved through good-faith negotiation
• Submitted to mediation if negotiation fails
• Governed by the laws of South Africa
• Subject to the jurisdiction of South African courts

13. Amendments

We reserve the right to modify these terms at any time. Continued use of our services after changes constitutes acceptance of modified terms.
